Welcome to FrontOffice AI. These Terms and Conditions (“Terms”) govern your access to and use of our website (the “Site”), products, and services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not access or use our Services.

1. Definitions

  • “FrontOffice AI,” “we,” “us,” “our”: FrontOffice AI, LLC, an AI voice technology company headquartered in New York, NY.
  • “User,” “you,” “your”: Any individual or entity accessing or using the Services.
  • “Content”: All text, images, audio, video, code, and other information provided through the Services.
  • “Account”: The user-specific registration profile required to access certain features of the Services.
  • “Subscription Plan”: A paid plan that grants access to premium features for a recurring fee.

2. Eligibility

  • You must be at least 18 years old to create an Account and use our Services. By agreeing to these Terms, you represent and warrant that you meet this age requirement.
  • If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration & Security

  • Registration: To access certain features (e.g., live AI voice agents, dashboard analytics), you must create an Account by providing accurate, complete, and up-to-date information (e.g., name, email, billing details).
  • Credentials: You are responsible for maintaining the confidentiality of your Account credentials (username and password). You agree to notify us immediately of any unauthorized use of your Account.

Account Suspension/Termination: We reserve the right to suspend or terminate your Account if we suspect any fraudulent activity, violation of these Terms, or if you provide false or misleading information.

4. Services & Subscription Plans

4.1. Free Tier (if applicable)

  • Certain features may be offered free of charge (“Free Tier”). We reserve the right to modify or discontinue the Free Tier at any time.

4.2. Paid Subscription Plans

  • We offer multiple Subscription Plans (e.g., Basic, Professional, Enterprise) with varying features, usage limits, and pricing. All fees are clearly posted on our Site or provided during the sign-up process.
  • Payment & Billing:
    • You agree to pay all fees associated with your chosen plan on or before the due date. Payments are processed via our third-party payment processor.
    • All fees are non-refundable, except as required by law or expressly stated otherwise. We may change our pricing or add new fees; any price changes will become effective at the next billing cycle.
  • Auto-Renewal:
    • By subscribing, you authorize us to automatically charge your payment method on file at the then-current rate at the beginning of each billing period.
    • You can cancel auto-renewal at any time before your next billing date via your Account settings. Cancellation does not entitle you to a refund for the current billing period.
  • Upgrades/Downgrades:

You may upgrade or downgrade your Subscription Plan at any time. If you upgrade, any additional fees will be prorated. Downgrades will take effect at the start of the next billing period.

5. User Responsibilities & Conduct

  • Lawful Use: You agree not to use our Services for any unlawful purpose or in violation of these Terms.
  • Prohibited Activities:
    • Reverse engineering, decompiling, or attempting to extract source code from any part of our Services.
    • Interfering with or disrupting the integrity or performance of our Services.
    • Using any automated means (e.g., bots, scrapers) to access or manipulate the Services without our prior written permission.
    • Transmitting viruses, malware, or any other malicious code.
    • Violating any intellectual property, privacy, or publicity rights of others.
    • Using our AI voice agents to produce content that is defamatory, obscene, harassing, or that violates any law.

Account Security: You are solely responsible for any activity that occurs under your Account. You agree to notify us immediately of any unauthorized use or security breach.

6. Intellectual Property

  • FrontOffice AI IP: All content, features, software (including code), and functionality provided by FrontOffice AI, including but not limited to trademarks, logos, graphics, and AI models, are the sole property of FrontOffice AI or its licensors. They are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
  • Your Content:
    • “Your Content” refers to any data, audio recordings, transcripts, text, or other materials you upload or generate through the Services. You retain all ownership rights in Your Content.
    • By submitting Your Content, you grant FrontOffice AI a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content solely for the purpose of providing and improving our Services.

Feedback: If you provide suggestions, ideas, or feedback (“Feedback”), you grant FrontOffice AI a perpetual, irrevocable, royalty-free license to use and incorporate that Feedback without restriction.

7. Privacy & Data Protection

Our Privacy Policy, available at the link above, explains how we collect, use, and disclose your personal data. By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

8. Disclaimers & Limitations of Liability

8.1. Disclaimer of Warranties

  • THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. FrontOffice AI DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8.2. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FrontOffice AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOSS OF DATA, OR INTERRUPTION OF BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FrontOffice AI’S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT PAID US ANY FEES, FrontOffice AI’s LIABILITY SHALL NOT EXCEED $100.

9. Indemnification

You agree to indemnify, defend, and hold harmless FrontOffice AI and its officers, directors, employees, agents, and affiliates from any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

  • Your breach of these Terms or any representation made hereunder.
  • Your misuse of the Services, including any Content you submit.

Your violation of any applicable law or third-party rights (including intellectual property, privacy, or publicity rights).

10. Termination

  • By You: You may terminate your Account at any time by contacting support at hello@myfrontoffice.ai or via your Account settings. Termination does not entitle you to a refund of any fees already paid.
  • By FrontOffice AI: We may suspend or terminate your Account or restrict access to the Services, without notice, if you breach these Terms or if we believe your use may cause legal liability or disrupt others’ use of the Services.

Effect of Termination: Upon termination, your right to use the Services will immediately cease. We may delete your Account and all associated data, subject to any applicable data retention requirements or legal obligations. Sections 3 (Account), 5 (User Responsibilities), 6 (Intellectual Property), 7 (Privacy), 8 (Disclaimers), 9 (Indemnification), and 12 (Governing Law) shall survive termination.

11. Changes to These Terms

We may update these Terms periodically. When changes are significant, we will notify you via email and/or a prominent notice on the Site. Your continued use of the Services after such notice constitutes acceptance of the updated Terms.

12. Governing Law & Dispute Resolution

  • These Terms and any dispute arising out of or related to them or the Services shall be governed by the laws of the State of New York, without regard to conflict-of-law principles.
  • Informal Resolution: Before initiating any legal action, you agree to try to resolve disputes informally by emailing us at hello@myfrontoffice.ai.
  • Arbitration (if applicable): To the extent permitted by law, any unresolved controversy or claim arising out of or relating to these Terms shall be settled by binding arbitration in New York County, New York, under the rules of the American Arbitration Association. Each party shall bear its own costs and fees, and the arbitrator’s decision may be entered as a judgment in any court of competent jurisdiction.
  • Small Claims & Injunctive Relief: Notwithstanding the above, either party may choose to resolve disputes in a small claims court if the claim qualifies. Either party may seek injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement or violation of that party’s intellectual property rights.

13. Miscellaneous

  • Force Majeure: Neither party shall be liable for delays or failures in performance due to causes beyond its reasonable control (e.g., natural disasters, acts of war, telecommunications failures).
  • Assignment: You may not assign your rights or delegate your obligations under these Terms without our prior written consent. We may assign these Terms at any time without notice.
  • Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Entire Agreement: These Terms (including the Privacy Policy) constitute the entire agreement between you and FrontOffice AI regarding the Services and supersede all prior or contemporaneous communications, representations, or proposals, whether oral or written.
